Terms of Service

  1. Acceptance of Terms
    By placing an order on a restaurant’s website powered by Omnicart (operated by Dine EasyHoldings Inc. dba Omnicart), you agree to be bound by these Terms of Service. These Termsform a binding agreement between you and Omnicart regarding your use of the online orderingservice.
  2. Ordering and Payment
    Order Placement: When you place an order through the online ordering system, your order is subject to acceptance by the restaurant providing the service.
    Pricing & Payment: Prices, payment terms, and any applicable fees are determined bythe restaurant. Payment processing is securely handled by Stripe. Omnicart does notstore your payment information.
  3. User Responsibilities
    ● You agree to provide accurate and complete information when placing an order.
    ● You acknowledge that the restaurant is solely responsible for fulfilling the order, includingany arrangements for third-party delivery.
    ● By using this service, you consent to the collection and processing of your personalinformation in accordance with our Privacy Policy.
  4. Communication Consent
    By placing an order, you expressly consent to receive communications from Omnicart regardingyour order. This includes notifications and updates before, during, and after order delivery.Omnicart reserves the right to contact you via phone or email at any time for these purposes.Please note that some phone calls may be made by automated AI agents, and some calls maybe recorded for quality assurance and training purposes.

  5. Termination and Cancellation
    ● For Customers: Omnicart reserves the right to cancel or refuse any order at its sole discretion.
    ● Access Termination: Omnicart may terminate your access to the online ordering service if you violate these Terms.
  6. Dispute Resolution
    Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the service shall be resolved exclusively through binding arbitration under rules that are heavily in favor of Omnicart. Insofar as mandatory legal provisions applicable to U.S. consumers preclude certain limitations on dispute resolution, those provisions shall govern. By agreeing to theseTerms, you waive any right to a jury trial or to pursue claims in court, except as required by mandatory law.
  7. Limitation of Liability
    Omnicart provides the service “as is” and without warranties of any kind. In no event shall Omnicart be liable for any indirect, incidental, or consequential damages arising from your use of the online ordering service.

  8. Governing Law & Jurisdiction
    These Terms shall be governed by and construed in accordance with the laws of Canada.Notwithstanding this, because the online ordering service is primarily provided in the UnitedStates, certain mandatory U.S. consumer protection laws may apply. In any dispute not affectedby such mandatory provisions, the resolution shall take place exclusively in the appropriateCanadian courts
